A repudiatory breach is a fundamental breach of contract that occurs when one party to the contract commits a serious and substantial breach of their primary contractual obligations. This breach undermines the core purpose of the contract and deprives the innocent party of the benefits they were supposed to receive. Thus, it is significant enough to let the innocent party treat the contract as terminated and to claim damages for the losses suffered as a result of the breach.
